All messages required by the terms of this Agreement are sent by e-mail or email authenticated to the following addresses: The Client undertakes to cooperate with and retain the Advisor in order to provide the services defined in this Agreement. The advisor accepts this contractual relationship and undertakes to provide the financial advice services listed in accordance with the terms of this agreement and undertakes to carry out in good conscience the tasks listed. The client and the advisor have the legal authority to enter into this financial services advisory agreement between them. The individuals whose signatures appear on the last page of this agreement are representatives of their respective employers and are fully entitled to enter into contractual agreements on behalf of their employers. Since 1999, we are pleased to work with you and have Global Entertainment Corporation as our client. We are pleased to be able to conclude our third extension of the original agreement of October 8, 1999. This agreement (the agreement) will enter into effect on June 13, 2003 (effective date) of the agreement and the merger and reorganization plan between Global Entertainment Corporation, Global Entertainment Acquisition Corp. and Cragar Industries, Inc. The client undertakes not to circumvent this agreement or to circumvent it in any way to avoid paying a consultant a fee. In addition, the client undertakes to make reasonable efforts to regularly update consultants with respect to the legal, commercial and commercial environments related to the client`s operation. The client must inform the consultant of new contracts, companies or other agreements with a private or public body and provide the advisor with copies of the correct documents.
With respect to MCCs` activities on behalf of the company, the Company will continue to provide MCC with all company information (information) that MCC deems reasonably appropriate and will allow MCC adequate access to the company`s accountants and consultants. The company and its senior executives state that all information relating to the company, including, but not limited to, the company`s annual accounts, provided by the company to MCC, is complete and correct on all essential points and does not contain a false statement of essential fact or refrain from indicating an essential fact that is necessary, in order to prevent the statements it contains from being misleading. When providing its services under this file, MCC will use the information primarily without independent verification and will use it, and MCC will assume no responsibility for the accuracy or completeness of the information.
