Brisa Concession Agreement

The government sold a third share of Brisa in May 1999. An additional 12 million shares, or 20%, were sold to private and institutional investors, bringing in around €550 million. The state also extended brisa`s concession for two more years, until 2032. In the meantime, competitors have begun to question Brisa`s dominance on Portuguese motorways. In addition to the A7 and A8, which had been transferred to private operators, the government had set up a dozen new road concessions. Many of the new motorways would be subject to shadow charges, meaning that drivers did not pay direct fees; Instead, the road manager received compensation from the state on the basis of traffic. However, given that traffic continued to increase throughout Portugal, Brisa predicted that the new motorways would bring more traffic to their own network. The objective of this TAM is the implementation of an access to the industries of Tatuí to Km 116 + 700 of Rodovia SP-127 (Rodovia Antonio Romano Schincariol), with a total investment and cost of R$ 15,500,264,20. Following the New Investment Addendum, the financial balance of the concession contract was restored using the marginal cash flow methodology, extending the duration of the concession by one (1) month and one (1) day. On 20 December 2006, the dealers AutoBan and ViaOeste implemented Amendments 16 and 12 relating to road concession contracts 005/CIC/1998 and 008/CIC/1997.

These amendments aim to adapt the financial and economic equations of the concession agreements, which have been influenced by several changes in taxes and the investment plan. Under the concession contracts, the concessions were extended by 104 months at AutoBan and by 57 months at ViaOeste. On the same day, the amendment of Article 3 of the Statutes of the Company, which describes the purpose of the company`s enterprise, was authorized in order to extend the scope of activities related to the transport infrastructure sector as follows: “Businesses in Brazil and/or abroad, directly or indirectly and / or by consortia, within the framework of concessions for public works and services and, in particular, services related to the operation of highways and roads, bridges, tunnels and underground infrastructure”. . . .
